1 Introduction & Acceptance
1.1 Agreement to Terms
By accessing or using the StarShipDealers platform (the "Platform," "Site," "Service," or "we"), you agree to be bound by these Terms of Service (the "Terms" or "Agreement"). If you do not agree to these Terms, you must immediately cease using the Platform.
1.2 Supplemental Agreements
These Terms incorporate and should be read in conjunction with the following additional agreements:
- Buyer Protection Agreement - governing buyer-specific rights and obligations
- Seller Protection Agreement - governing seller-specific rights and obligations
- Privacy Policy - governing the collection, use, and protection of personal data
- Cookie Policy - governing the use of cookies and similar technologies on the Platform
All supplemental agreements are incorporated by reference and form part of this Agreement.
1.3 Modifications to Terms
StarShipDealers may modify, amend, or update these Terms at any time. Updated Terms will be posted on the Platform with a new "Effective Date." Continued use after modifications constitutes acceptance of revised Terms.
1.4 Binding Agreement
By using the Platform, you acknowledge that:
- You have read and understood these Terms in their entirety
- You agree to be legally bound by these Terms
- You have the legal capacity to enter into this binding agreement
- You will comply with all applicable laws and regulations
2 Definitions
"Platform" or "Site": StarShipDealers website, mobile applications, services, tools, and related infrastructure.
"User": Any person or entity that accesses or uses the Platform, regardless of registration status.
"Registered User": A User who has completed registration and maintains an active account on the Platform.
"Buyer": A Registered User who purchases items or services through the Platform.
"Seller": A Registered User who lists and sells items or services through the Platform.
"Order": A purchase transaction initiated by a Buyer for items or services listed by a Seller on the Platform.
"Listing": An item, product, or service offered for sale by a Seller on the Platform.
"Escrow": The payment holding system whereby funds from a Buyer's purchase are held securely by the Platform until delivery is confirmed or the acceptance period expires.
"Delivery Guarantee": The timeframe committed by a Seller within which delivery of purchased items will be completed.
"Delivery Method": The process by which items are transferred to Buyers, including via email, RSI gifting system, or account application. Items are automatically added to the Buyer's RSI Hangar upon email acceptance without requiring in-game login.
"Transaction Risks": All risks assumed by Users when conducting transactions on the Platform, including but not limited to: misrepresentation of products/services, fraudulent schemes, unsatisfactory quality, defects, sale of unlawful/prohibited products, delays/defaults in delivery/payment, third-party rights violations, cost miscalculations, pricing errors, breach of warranty or contract.
"Third-Party Content": Any content, information, listings, or materials posted, uploaded, or provided by Users or other third parties on the Platform.
"Third-Party Rights": Copyrights, trademarks, trade secrets, patents, rights of privacy, rights of publicity, and any other personal or proprietary rights held by third parties.
"Platform Content": All information, text, images, videos, graphics, designs, software, databases, and materials owned by or licensed to StarShipDealers.
"Virtual Goods" or "Digital Goods": In-game items, spaceships, vehicle upgrades, in-game currency, and other virtual assets delivered via the RSI gifting system or email delivery method.
"Final Resolution Committee": The Platform's internal arbitration body responsible for reviewing and making final, binding decisions on escalated disputes between Buyers and Sellers.
"Communication": Official emails, messages, notifications, or other correspondence sent by the Platform to Users via their registered email addresses or Platform messaging system.
"Game Development Changes": Updates, modifications, balance changes, nerfs, buffs, price adjustments, or any other alterations made by game developers (Cloud Imperium Games or other publishers) that may affect item statistics, pricing, availability, or functionality after purchase.
3 Account Creation & Management
3.1 Eligibility
To create an account on the Platform, you must:
- Meet the Eligibility requirements stated in Section 4.1
- Not be prohibited from using the Platform under the laws of the United States or any other applicable jurisdiction
Minors under 18 years of age are strictly prohibited from creating accounts or using the Platform.
3.2 Account Types
The Platform accepts accounts from natural persons (individuals) and registered companies/business entities with proper legal documentation (Business registration, Tax ID, authorized representative information).
3.3 Registration Requirements
When creating an account, you must provide: valid email address, accurate personal information, secure password, and any additional information requested. You agree to maintain and promptly update your account information to keep it accurate and complete.
3.4 Username and Persona Rules
Your username and public persona must: not contain offensive/vulgar language, not impersonate others or Platform staff, not infringe on third-party trademarks, and not promote illegal activities.
The Platform may reject or require changes to any username violating these rules.
3.5 Account Security
You are solely responsible for maintaining password confidentiality and all activities under your account. Immediately notify the Platform of any unauthorized access. Do not share your account credentials. You will be held liable for any unauthorized use resulting from your failure to maintain security.
3.6 One Account Policy
Each person or business entity may maintain only ONE (1) account on the Platform. Creating multiple accounts ("alt accounts") may result in: immediate suspension/termination of all associated accounts, forfeiture of funds, and permanent ban (see Section 4.4 for Prohibited Users).
3.7 Prohibition on Account Transfer
You may not sell, transfer, assign, gift, or otherwise convey your account, username, or password to any third party without the prior written consent of StarShipDealers. Any attempt may result in immediate account termination.
3.8 Email Monitoring Obligations
You must regularly monitor the email address registered with your account. The Platform will send important notifications, transaction updates, and dispute communications to your registered email. Failure to monitor your email or respond within required timeframes may result in automatic acceptance of claims or adverse consequences in disputes.
Ensure that: your email address is valid and actively monitored, Platform emails are not blocked by spam filters, and you respond to time-sensitive communications within deadlines.
3.9 Identity Verification (KYC)
The Platform may request additional identity verification and documentation from Users at any time (see Section 4.3 for complete KYC/AML requirements and procedures).
3.10 Platform Rights
StarShipDealers may:
- Refuse registration or account creation for any reason
- Request additional verification or documentation at any time
- Suspend or terminate accounts that fail to comply with verification requests
- Reject or remove any username, persona, or profile information that violates Platform policies
4 Eligibility & Legal Capacity
4.1 Age and Legal Capacity
By using the Platform, you represent and warrant that: you are at least 18 years of age, you have the legal capacity to enter into binding contracts under the laws of your jurisdiction, and you are not subject to any legal disability that would prevent you from forming a contract.
4.2 Jurisdictional Restrictions
The Platform is intended for use in jurisdictions where such use is lawful. You may not access or use the Platform if: you are located in a country subject to U.S. economic sanctions or embargoes, you are prohibited from receiving products/services from the United States, or your use would violate any applicable law.
The Platform may not be available in certain countries or regions. StarShipDealers may restrict access from any jurisdiction at its sole discretion.
4.3 Anti-Money Laundering (AML) and Know Your Customer (KYC)
StarShipDealers prevents money laundering, terrorist financing, and financial crimes through identity verification, transaction monitoring, and cooperation with authorities (see Section 11.3). Platform may:
- Conduct identity verification checks on all Users
- Request additional documentation to verify User identity and transaction legitimacy
- Monitor transactions for suspicious activity
- Report suspicious transactions to appropriate authorities
- Suspend or terminate accounts that fail to comply with verification requests
4.4 Prohibited Users
The following individuals and entities are prohibited from using the Platform: Users who have been previously banned/terminated, Users with a history of fraudulent activity/chargebacks/payment disputes, Users who have violated these Terms or Platform policies, or Users under investigation for fraud/illegal activity.
StarShipDealers may deny access to any User at its sole discretion.
4.5 Account Suspension for Non-Compliance
If you fail to comply with identity verification requests or provide false or misleading information, StarShipDealers may: suspend your account until verification is completed, terminate your account permanently, withhold funds held in escrow or account balances, or report the matter to appropriate authorities.
5 Rules of Conduct - User Behavior
All Users must adhere to the following rules of conduct when using the Platform:
5.1 Prohibited Conduct
You agree that you will NOT:
a) Harassment and Abuse
- Harass, threaten, intimidate, or abuse other Users or Platform staff
- Use hate speech or discriminatory remarks based on race, religion, gender, nationality, disability, sexual orientation, or age
b) Spam and Disruption
- Send unsolicited messages, advertisements, or promotional materials (spam)
- Disrupt the normal operation of the Platform or interfere with other Users' enjoyment
c) Impersonation and False Representation
- Impersonate other Users, Platform staff, moderators, or public figures
- Use misleading usernames, profiles, or falsely claim affiliation with any organization
d) False Reports and Abuse of Platform Systems
- Submit false reports, complaints, or frivolous disputes
- Manipulate feedback or reputation systems
e) Illegal Activities
- Promote, facilitate, or engage in illegal activities, money laundering, fraud, or other financial crimes
- Offer or sell illegal products or services
f) Malicious Software and Hacking
- Upload viruses, malware, or harmful code; attempt to hack or gain unauthorized access
- Use automated tools, bots, scripts, or crawlers without permission
g) System Integrity Attacks
- Undermine Platform integrity, security, or proper functioning
- Launch denial-of-service (DoS) attacks or exploit vulnerabilities
h) Ban Circumvention
- Create alternative accounts to circumvent bans or suspensions
- Use VPNs, proxies, or tools to mask identity for fraudulent purposes
i) Data Collection and Privacy Violations
- Scrape, harvest, or collect User data without authorization
- Share or disclose other Users' personal information without consent
5.2 Respectful Communication
You agree to: communicate respectfully and professionally with other Users and Platform staff, resolve disputes in a civil manner, and use appropriate language refraining from profanity, vulgarity, or offensive content in public areas.
5.3 Compliance with Laws
You agree to comply with all applicable local, state, national, and international laws and regulations when using the Platform. You are solely responsible for ensuring that your use of the Platform is lawful in your jurisdiction.
5.4 Enforcement
StarShipDealers may investigate any suspected violations of these conduct rules and take appropriate action, including: issuing warnings, suspending/terminating accounts, withholding funds, reporting violations to law enforcement authorities, or pursuing civil/criminal legal action.
6 Platform Role & Marketplace Rules
6.1 Platform as Facilitator
StarShipDealers is NOT an agent, representative, broker, or intermediary of Buyers or Sellers. The Platform serves solely as a facilitator that provides: infrastructure for listing and discovering items, escrow services, communication tools, and dispute resolution services.
Clarification: The Platform does not act on behalf of either party in transactions. This limitation protects the Platform from legal liability arising from disputes between Buyers and Sellers.
6.2 Direct Contract Between Buyer and Seller
The sale contract is formed directly between the Buyer and the Seller, not with StarShipDealers. When a Buyer purchases an item from a Seller: the Buyer and Seller enter into a direct contractual relationship, the Platform is not a party to that contract, and the Platform merely provides infrastructure and services to facilitate the transaction.
Clarification: Legal obligations related to the sale (delivery, quality, warranties, etc.) exist between the Buyer and Seller. StarShipDealers provides services to support the transaction but is not liable for the obligations of either party.
6.3 No Sales Agency Relationship
By listing items on the Platform or purchasing items through the Platform, no sales agency, employment, partnership, or joint venture relationship is created between Users and StarShipDealers.
6.4 Escrow System
All transactions on the Platform are protected by a mandatory escrow system. When a Buyer makes a purchase:
- Payment is held securely by the Platform (not released to the Seller immediately)
- Funds remain in escrow until the Buyer confirms delivery or the acceptance period (48 hours) expires
- If a dispute arises, funds remain in escrow until the dispute is resolved
The escrow system protects:
- Buyers from non-delivery or fraud
- Sellers from payment fraud or chargebacks
6.5 Platform Fees
The Platform charges fees to cover operational costs, security infrastructure, and services provided to Users.

Fee Transparency: All fees disclosed before transactions. Current rates: www.starshipdealers.com/fees/. Platform may modify fees with 30 days' advance notice.
What Fees Cover: Secure payment infrastructure, escrow system, fraud detection/prevention, dispute resolution (Final Resolution Committee), platform maintenance/hosting/development, customer support, user protection programs, legal compliance, and security measures.

6.7 Platform Role and Limitations
The Platform facilitates transactions but does not guarantee transaction outcomes. See Section 9.3 for complete liability disclaimers.
6.8 User Assumption of Transaction Risks
By using the Platform, you explicitly acknowledge and assume all Transaction Risks as defined in Section 2 and detailed in Section 9.5. You agree that StarShipDealers is not liable for any losses, damages, or harm arising from these risks.
6.10 Platform Verification Efforts
StarShipDealers makes reasonable efforts to verify:
- User identities through KYC processes
- Payment validity and legitimacy
- Seller reputation and transaction history
However, User verification on the internet is inherently complex and imperfect. StarShipDealers cannot and does not confirm every User's identity or intentions with absolute certainty. Users are encouraged to exercise caution and use the tools provided by the Platform (such as reputation scores, reviews, and communication systems) to evaluate potential transaction partners.
6.11 Platform Limitations
StarShipDealers has limited control over User actions and transactions. See Section 9.3 for complete liability limitations.
6.12 Game Development Disclaimer
All Virtual Goods and Digital Goods sold on the Platform are subject to changes by game developers (such as Cloud Imperium Games for Star Citizen). By purchasing items:
- You acknowledge game developers may modify, update, nerf, buff, rebalance, or change items at any time
- The Platform guarantees only that delivered items match listing descriptions at time of purchase
- No refunds for post-delivery developer changes (stat changes, rebalancing, price changes, availability changes, visual/cosmetic changes, functionality/performance changes, item removal/retirement)
The Platform ensures delivered items match Seller descriptions. Developer changes after delivery are beyond Platform control and do not constitute refund grounds.
6.13 Prohibited Items
The following items are strictly prohibited from being listed, offered, or sold on the Platform:
- Stolen accounts (including but not limited to RSI accounts, game accounts, email accounts)
- Hacked or exploited game assets obtained through unauthorized means
- Items obtained through cheats, bots, exploits, or glitches
- Counterfeit or fake items misrepresented as authentic
- Items that violate game publisher Terms of Service
- Illegal products or services under applicable law
- Adult content, sexual services, or pornography
- Dangerous goods, weapons, drugs, or controlled substances
Listing or attempting to sell prohibited items may result in:
- Immediate listing removal
- Account suspension or permanent termination
- Forfeiture of funds or account balances
- Referral to law enforcement authorities
- Legal action
7 Intellectual Property Rights
7.1 Platform Ownership
All intellectual property rights in and to the Platform (including StarShipDealers name/logo/trademarks, website design/layout/graphics/UI, software/code/algorithms/technology, databases/content/materials) are owned exclusively by StarShipDealers or its licensors. These rights are protected by U.S. and international copyright, trademark, patent, trade secret, and other IP laws.
7.2 Copyright & Trademark Protection
The Platform and all Platform Content are protected by copyright laws. Unauthorized copying, reproduction, distribution, modification, or creation of derivative works is strictly prohibited. "StarShipDealers," the StarShipDealers logo, and other Platform trademarks, service marks, and trade names are proprietary to StarShipDealers. You may not use these trademarks without prior written consent.
7.3 Restrictions on Use
You may not: copy/reproduce/download/redistribute Platform Content for commercial purposes, modify/adapt/translate/create derivative works based on the Platform, remove/obscure/alter copyright notices/trademarks/proprietary rights notices, reverse engineer/decompile/disassemble Platform software/technology, or use automated systems (bots, scrapers, crawlers) without written permission.
7.4 Limited License to Use Platform
StarShipDealers grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal or internal business purposes in accordance with these Terms. This license does not include the right to: resell or commercially exploit the Platform, create a competing service, or use the Platform for any purpose not expressly permitted.
7.5 User License Grant to Platform
By posting, uploading, or submitting content to the Platform (listings, reviews, messages, images, materials), you grant StarShipDealers an irrevocable, perpetual, worldwide, royalty-free, sub-licensable, and assignable license to: display/host/distribute your content on the Platform, use your content for marketing/promotional/operational purposes, exercise all IP rights in your content, and sub-license your content to third parties as necessary. This license survives account termination and is granted in any and all media.
7.6 User Representations Regarding Content
By submitting content, you represent and warrant that: you own or have obtained all necessary rights/licenses/permissions, your content does not infringe on third-party IP/privacy/other rights, and your content complies with all applicable laws and these Terms.
7.7 Third-Party Intellectual Property & DMCA
You agree to respect third-party IP rights. You may not post/upload/distribute content that infringes copyrights/trademarks/trade secrets/patents/proprietary rights of others. If you believe your copyrighted work has been infringed, contact us with: description of copyrighted work, location of infringing material (URL), your contact information, good faith belief statement, accuracy statement under penalty of perjury, and your signature. 7.8 Platform Right to Remove Content
StarShipDealers may remove, disable, or delete any content that: violates these Terms or Platform policies, infringes on third-party IP rights, or is deemed inappropriate/unlawful/harmful. Content removal may occur without prior notice.
8 Service Availability & Modifications
8.1 "As Is" Service
See Section 9.1-9.2 for service disclaimers and warranties. StarShipDealers makes no guarantees regarding uninterrupted operation, uptime, or device compatibility.
8.2 No Guarantee of Uptime
While StarShipDealers strives to maintain a stable and reliable Platform, we do not guarantee continuous, uninterrupted access. The Platform may be unavailable due to:
- Scheduled or emergency maintenance
- Technical issues, server outages, or software bugs
- Third-party service provider failures (hosting, payment processors, etc.)
- Cyberattacks, security incidents, or force majeure events
8.3 Maintenance and Downtime
StarShipDealers may:
- Perform scheduled or emergency maintenance at any time
- Temporarily suspend access to the Platform for maintenance, upgrades, or repairs
- Conduct maintenance without prior notice (though we will attempt to provide advance notice when possible)
Users will not be entitled to refunds, credits, or compensation for downtime or service interruptions.
8.4 Force Majeure
StarShipDealers is not liable for any delay, failure, or disruption resulting from circumstances beyond our reasonable control, including:
- Acts of nature (floods, earthquakes, storms, fires, disasters)
- Infrastructure failures (internet/power outages, telecommunications, equipment failures)
- Labor disputes, strikes, lockouts
- Civil unrest, riots, terrorism, or war
- Government actions (laws, regulations, embargoes, restrictions)
- Third-party failures (hosting providers, payment processors, email services)
In the event of a force majeure situation, StarShipDealers' obligations under these Terms will be suspended for the duration of the event.
8.5 Right to Modify Features and Services
StarShipDealers may:
- Modify, update, or change any features, functionality, or services offered on the Platform
- Introduce new features, services, or tools
- Discontinue or remove existing features, services, or tools
- Change the Platform's design, layout, or user interface
Modifications may be made at any time, with or without prior notice.
8.6 Right to Discontinue Services
StarShipDealers may discontinue or terminate the Platform or any portion thereof at any time for any reason, including but not limited to:
- Business reasons or strategic decisions
- Regulatory or legal requirements
- Technical or financial constraints
In the event of Platform discontinuation, StarShipDealers will make reasonable efforts to provide advance notice to Users.
8.7 No Liability for Service Changes
StarShipDealers is not liable for any losses, damages, or inconveniences resulting from:
- Service changes (see Section 9.3 for service disruption disclaimers)
- Modifications to features or functionality
- Discontinuation of the Platform or any services
- Changes to pricing, fees, or terms
Users acknowledge that the Platform may evolve over time and that such changes are necessary to improve, maintain, and operate the Platform effectively.
9 Disclaimers & Limitation of Liability
9.1 "AS IS" and "AS AVAILABLE" Disclaimers
THE PLATFORM AND ALL SERVICES, CONTENT, AND MATERIALS PROVIDED THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
9.2 No Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STARSHIPDEALERS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability (fitness for sale or use)
- Warranties of fitness for a particular purpose (suitability for your specific needs)
- Warranties of non-infringement (freedom from third-party rights violations)
- Warranties of accuracy, reliability, or completeness of information or content
- Warranties of uninterrupted, secure, or error-free operation
9.3 Platform Not Liable For
StarShipDealers is NOT responsible or liable for:
a) Quality and Legality of Listings
- The quality, safety, legality, or authenticity of items listed on the Platform
- The truth, accuracy, or completeness of User listings, descriptions, or representations
- The ability of Sellers to actually possess, own, or deliver items listed
b) Transaction Completion
- The ability of Sellers to successfully complete sales or deliver items
- The ability of Buyers to complete payments (though escrow protects Sellers from non-payment)
- Whether Buyers or Sellers will honor their contractual obligations
c) Third-Party Actions
- Actions or inactions by game publishers or developers (e.g., Cloud Imperium Games)
- Changes, updates, nerfs, or modifications made by game developers to Virtual Goods after purchase
- Bans, suspensions, or penalties imposed by game publishers on User accounts
d) Unauthorized Access
- Unauthorized access to User accounts by third parties
- Hacking, phishing, or other security breaches affecting individual Users
- Loss of account credentials or passwords due to User negligence
e) Service Disruptions
- Delays, failures, or disruptions of the Platform or Services, data loss/corruption/unavailability, downtime/maintenance/technical issues
f) Damages: Special, indirect, incidental, consequential, or punitive damages; lost profits/revenue/business opportunities/goodwill; business interruption or operational disruptions
9.4 Liability Cap
REGARDLESS OF THE PREVIOUS PROVISIONS, IF STARSHIPDEALERS IS FOUND LIABLE FOR ANY REASON, OUR LIABILITY IS LIMITED TO THE GREATER OF: (a) The amount of the specific transaction in dispute, OR (b) The total amount of fees paid by the User to StarShipDealers in the 12 months preceding the event giving rise to liability, OR (c) $100 USD
THIS LIMITATION APPLIES TO ALL CLAIMS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, WARRANTY, OR ANY OTHER LEGAL THEORY.
9.5 Explicit Assumption of Transaction Risks
By using the Platform, you explicitly acknowledge, understand, and assume all Transaction Risks (as defined in Section 2). You agree that StarShipDealers is not responsible for any losses, damages, or harms arising from Transaction Risks and that you bear full responsibility for evaluating and managing these risks.
9.6 Material Download at User's Own Risk
Any material downloaded through the Platform is accessed at your sole discretion and risk. You are solely responsible for: any damage to your computer system/device, loss of data, viruses/malware/harmful code (though StarShipDealers takes preventive measures). No advice, information, or statement obtained from StarShipDealers, the Platform, or other Users creates any warranty not expressly stated in these Terms.
9.7 Jurisdiction-Specific Limitations
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental/consequential damages. In such jurisdictions, the above limitations may not apply, and StarShipDealers' liability will be limited to the maximum extent permitted by law.
10 Indemnification
10.1 User's Indemnification Obligation
You agree to indemnify, defend, and hold harmless StarShipDealers and its affiliates, directors, officers, employees, agents, contractors, and licensors from and against any and all claims, demands, actions, lawsuits, losses, damages, liabilities, costs, expenses, and attorney's fees (on a full indemnity basis) arising out of or related to:
a) Your Use of the Platform: Your access to or use of the Platform, Services, or Tools; your listings, transactions, or interactions with other Users
b) Breach of Terms: Your violation of these Terms, the Buyer Protection Agreement, the Seller Protection Agreement, or any Platform policies
c) Violation of Laws: Your violation of any applicable laws, regulations, or third-party rights
d) Infringement of Third-Party Rights: Claims that your content, listings, or actions infringe on the IP rights, privacy rights, or other rights of third parties
e) Third-Party Claims: Claims asserted by other Users, Buyers, Sellers, or third parties related to your listings, transactions, or conduct on the Platform
f) Representations and Warranties: Breach of any representations or warranties you have made in these Terms
10.2 Examples of Indemnifiable Situations
Examples: (a) Buyer sues for non-delivery/counterfeit item; (b) copyright owner sues for infringing content; (c) game publisher acts on prohibited/hacked assets; (d) User sues for fraudulent/harmful conduct.
10.3 Platform's Right to Assume Defense & Settlement Consent
StarShipDealers may, at its own expense, assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such cases: you agree to cooperate fully with StarShipDealers in asserting available defenses, you may not settle any claim without StarShipDealers' prior written consent, and StarShipDealers' assumption of defense does not waive your indemnification obligations. Your indemnification obligations survive account termination and continue indefinitely.
11 Fraud & Abuse Prevention
11.1 Firm Anti-Fraud Policy
StarShipDealers maintains a zero-tolerance policy toward fraud and abuse. We are committed to providing a safe, secure, and trustworthy marketplace for all Users.
11.2 Types of Fraud Prohibited
The following types of fraud and abuse are strictly prohibited:
a) Identity Theft:
- Impersonating other Users or individuals
- Using stolen or fake identity documents
- Creating accounts under false names or using false information
b) Payment Fraud: Using stolen credit cards/payment accounts, engaging in credit card fraud or unauthorized charges, defrauding payment processors.
c) False Delivery Claims: Sellers falsely claiming delivery when none occurred; Buyers falsely claiming non-delivery; providing fake delivery evidence.
d) Chargeback Fraud: Buyers initiating chargebacks after receiving items ("friendly fraud"), making false claims to payment processors.
e) Account Hacking: Gaining unauthorized access to other Users' accounts, phishing attacks, selling/distributing hacked accounts.
11.3 Law Enforcement Cooperation
If fraud is detected, StarShipDealers will cooperate with law enforcement authorities when legally required. This includes:
- Providing User information to authorities in response to valid legal requests (subpoenas, court orders, search warrants)
- Assisting in investigations of fraudulent activity when compelled by law
- Complying with legal obligations under applicable regulations
We may cooperate with:
- Local and state law enforcement agencies
- Federal authorities (when legally required)
- International law enforcement (for cross-border fraud cases)
- Financial crime investigation units
11.4 Civil Litigation
In addition to criminal prosecution, StarShipDealers reserves the right to pursue civil litigation against individuals or entities engaged in fraud. This may include:
- Filing lawsuits to recover damages and losses incurred by StarShipDealers
- Seeking injunctive relief to prevent further fraudulent activity
- Recovering costs, attorney's fees, and other expenses
11.5 No Exceptions
StarShipDealers makes no exceptions for fraud, regardless of:
- The amount of money involved (even "small" fraud will be prosecuted)
- The age of the offender (minors engaging in fraud will face consequences)
- Claims that "no one was really hurt" (fraud harms the integrity of the Platform and the broader community)
Fraud investigations, prosecutions, and civil actions will be pursued to the fullest extent possible, without regard to cost.
11.6 Monitoring and Logging
StarShipDealers actively monitors the Platform for suspicious activity and maintains logs of:
- User transactions and behaviors
- IP addresses and device information
- Login attempts and account access patterns
- Communications between Users
These logs may be used as evidence in fraud investigations and legal proceedings.
11.7 Account Termination and Bans
Users found to have engaged in fraud or abuse will face: immediate and permanent account termination, forfeiture of funds held in escrow or account balances, IP and device bans to prevent circumvention, referral to law enforcement authorities, and legal action (civil or criminal).
11.8 User Responsibility
You are responsible for: protecting your account from unauthorized access, reporting suspicious activity or fraud attempts to StarShipDealers immediately, and cooperating with fraud investigations if requested.
12 Account Termination & Suspension
12.1 User's Right to Cancel Account
You may cancel your account at any time by contacting StarShipDealers support or using the account closure feature on the Platform. However, account cancellation is only permitted after all outstanding obligations are fulfilled: For Sellers (all pending orders must be delivered, all active disputes resolved, all outstanding fees/penalties/refunds paid); For Buyers (all pending payments completed, all active disputes resolved, all outstanding fees/charges paid). You may not cancel your account to avoid fulfilling obligations or resolving disputes.
12.2 Data Deletion (GDPR Compliance)
Upon account cancellation, StarShipDealers will delete your personal data in accordance with our Privacy Policy, GDPR requirements, and applicable data protection laws. Note: Certain data may be retained for: legal/regulatory compliance (e.g., tax records, transaction histories), fraud prevention and security purposes, or ongoing disputes/investigations/legal proceedings.
12.3 Platform's Right to Suspend or Terminate Accounts
StarShipDealers may suspend or terminate User accounts at any time for any reason, including:
a) Terms of Service Breach: Violation of these Terms, Buyer/Seller Protection Agreements, or Platform policies.
b) False or Inaccurate Information: Providing false, misleading, or incomplete information during registration or verification.
c) Harmful Conduct: Engaging in conduct that harms the Platform, other Users, or StarShipDealers' interests (fraud, abuse, harassment, illegal activities).
d) Sole Discretion: For any other reason in StarShipDealers' sole and absolute discretion, with or without cause.
12.4 Immediate Termination
Accounts may be terminated immediately and without prior notice for serious violations, including: fraud/scams/theft, listing or selling prohibited items (stolen accounts, hacked assets, etc.), harassment/threats/hate speech, multiple account violations or ban circumvention, or activities that threaten the Platform's security or integrity.
12.5 Consequences of Termination
Upon account suspension or termination:
- You will lose access to the Platform and all associated services
- Your username, persona, and reputation will be forfeited
- Funds held in escrow or account balances may be withheld or forfeited (if fraud or violations are involved)
- You will be prohibited from creating new accounts (ban circumvention is prohibited)
12.6 Ban Circumvention Prohibition
Creating alternative accounts (alt accounts) to circumvent bans or suspensions is strictly prohibited. Users who attempt to evade bans by:
- Creating new accounts under different names
- Using VPNs or proxies to mask their identity
- Registering with new email addresses or devices
will face:
- Permanent termination of all associated accounts
- IP and device bans
- Legal action if fraud is involved
12.7 Reinstatement Requests
Users whose accounts have been suspended or terminated may request reinstatement by contacting StarShipDealers support. Reinstatement is not guaranteed and is granted at StarShipDealers' sole discretion.
Reinstatement may require:
- Payment of outstanding fees, penalties, or refunds
- Reactivation deposit of up to $300 (held as security against future violations)
- Acknowledgment of violations and commitment to comply with Terms going forward
- Additional verification or documentation
12.8 Outstanding Obligations
All outstanding fees, penalties, or obligations must be paid before an account can be closed or reactivated. This includes:
- Platform fees
- Seller penalties or refund fees
- Dispute resolutions or arbitration awards
- Any other amounts owed to StarShipDealers or other Users
Failure to pay outstanding obligations may result in:
- Referral to collection agencies
- Legal action to recover amounts owed
- Negative reporting to credit bureaus (if applicable)
13 Governing Law & Jurisdiction
13.1 Applicable Law
These Terms and any disputes arising out of or related to your use of the Platform shall be governed by and construed in accordance with:
- The laws of the State of Delaware, United States of America
- United States Federal law (where applicable)
- International law (including GDPR, CCPA, and other data protection regulations, where applicable)
The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
13.2 Exclusive Venue and Jurisdiction
You agree that any legal action, claim, or dispute arising out of or related to these Terms or your use of the Platform must be brought exclusively in the state or federal courts located in the State of Delaware. You consent to the personal and exclusive jurisdiction of these courts and waive any objections based on:
- Inconvenient forum
- Lack of personal jurisdiction
- Improper venue
13.3 Prohibition on Class Actions
YOU AND STARSHIPDEALERS AGREE THAT ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.
Neither you nor StarShipDealers may participate in or join class actions, consolidated actions, or representative proceedings against the other.
13.4 Dispute Resolution Process
For transaction disputes between Buyers and Sellers:
Step 1: Platform Dispute System
- All transaction disputes must first be submitted through the Platform's dispute resolution system
- Buyers and Sellers have 24 hours to file disputes after delivery confirmation
- Both parties must respond to disputes within 48 hours of notification
Step 2: Direct Negotiation
- The Platform encourages Buyers and Sellers to negotiate directly and reach a mutual resolution
- All negotiations must occur through Platform messaging systems
- Agreements reached through direct negotiation are binding and enforceable
Step 3: Escalation to Final Resolution Committee
- If direct negotiation fails or fraud is suspected, the dispute is escalated to the Platform's Final Resolution Committee
- The Committee reviews all evidence, communication logs, and transaction history
- The Committee's decision is final, binding, and non-appealable
Step 4: Formal Arbitration (Disputes Against Platform Only)
- Formal arbitration is available only for disputes directly between a User and StarShipDealers (not for Buyer-Seller disputes)
- Arbitration is used if the Platform's internal dispute process does not resolve a User's claim against StarShipDealers itself
13.5 Arbitration Agreement (Disputes Against Platform)
For disputes between Users and StarShipDealers (not transaction disputes between Buyers and Sellers):
a) Binding Arbitration: Any unresolved claim shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with AAA's Commercial Arbitration Rules.
b) Location & Language: Arbitration proceedings shall take place in Delaware, United States, and conducted in English.
c) Costs & Fees: Arbitration costs split equally between parties; each party bears its own attorney's fees.
d) Confidentiality & Enforcement: All proceedings, evidence, and awards remain confidential. Arbitrator's award may be entered as judgment in any court having jurisdiction.
e) Limitation on Awards: Any arbitration award is subject to the liability cap described in Section 9.4 of these Terms.
13.6 Waiver of Jury Trial & Claim Filing Timeframe
YOU AND STARSHIPDEALERS WAIVE ANY RIGHT TO A JURY TRIAL for any disputes arising out of or related to these Terms or your use of the Platform. All transaction disputes must be filed within 24 hours of delivery confirmation (as specified in the Buyer Protection Agreement and Seller Protection Agreement). For disputes against StarShipDealers itself (non-transaction disputes), claims must be filed within a reasonable time after the event giving rise to the claim.
13.7 Severability
If any provision of this Governing Law & Jurisdiction section is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
14 General Legal Provisions
14.1 Entire Agreement
These Terms, together with the Buyer Protection Agreement, Seller Protection Agreement, cookie policy, and Privacy Policy, constitute the entire agreement between you and StarShipDealers regarding your use of the Platform. These Terms supersede all prior or contemporaneous agreements, understandings, negotiations, or discussions, whether written or oral.
14.2 Severability & No Waiver
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent. The failure of StarShipDealers to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. A waiver is effective only if made in writing and signed by an authorized representative of StarShipDealers.
14.3 Independent Contractors
No partnership, joint venture, employment, or agency relationship exists between you and StarShipDealers. You and StarShipDealers are independent contractors, and neither party has the authority to bind the other or to incur obligations on the other's behalf.

These Terms are for the benefit of you and StarShipDealers only. No third party is intended to be a beneficiary of these Terms, and no third party shall have the right to enforce any provision hereof. Section and subsection headings in these Terms are for convenience only.
14.5 Amendment Process & Continued Use
StarShipDealers may amend these Terms at any time by posting revised Terms on the Platform with a new "Effective Date." Amendments become effective immediately upon posting unless otherwise specified. StarShipDealers will make reasonable efforts to notify Users of material changes via Platform notice, email, or login notification. However, it is your responsibility to review these Terms periodically. Your continued use of the Platform after amendments are posted constitutes your acceptance of the revised Terms. If you do not agree to the amended Terms, you must immediately cease using the Platform and close your account.
14.6 Taxes
You are solely responsible for determining and paying all taxes applicable to your use of the Platform, including: sales taxes, use taxes, and value-added taxes (VAT), income taxes on earnings from sales, import duties or customs fees (for international transactions), or any other taxes imposed by local/state/national/international tax authorities. StarShipDealers does not provide tax advice. You should consult with a qualified tax professional regarding your tax obligations.
14.7 Survival
The following provisions survive the termination of these Terms or your account: Section 2 (Definitions), Section 7 (Intellectual Property Rights), Section 9 (Disclaimers & Limitation of Liability), Section 10 (Indemnification), Section 13 (Governing Law & Jurisdiction), Section 14 (General Legal Provisions), and any other provisions that by their nature should survive.
